Terms of Use

1. Acceptance of Terms

By accessing or using any CorrelateX website, application, API, or service (collectively, the “Services”), you agree to be bound by these Terms of Use (“Terms”). If you do not agree to these Terms, do not use the Services.

These Terms constitute a legally binding agreement between you and CorrelateX (“we,” “us,” or “our”), a digital engineering organization operated by Ayush Verma.

2. Eligibility

You must be at least 18 years of age to create an account or use our Services. By using the Services, you represent and warrant that you meet this requirement and that you have the legal capacity to enter into these Terms.

3. Account Registration

• You must provide accurate, complete, and current information when creating an account.
• You are responsible for maintaining the confidentiality of your login credentials.
• You are responsible for all activities that occur under your account.
• You must notify us immediately of any unauthorized use of your account.
• We reserve the right to suspend or terminate accounts that violate these Terms.

4. Services Description

CorrelateX provides the following Services:

• Website & Brand Systems: Landing pages, portfolio sites, ecommerce fronts.
• Software & Applications: SaaS MVPs, internal tools, dashboards, admin systems.
• AI & Automation: LLM workflows, agents, prompt systems, social automation.
• Backend & Infrastructure: APIs, databases, deployments, monitoring.
• Commerce & Operations: Catalogs, payments, booking systems, CRM.
• Digital Rescue: Recovery and completion of stalled or incomplete projects.
• Products: HedgeVision (stat-arb platform), SuperIntel (AI ecosystem), ViEngine (social automation).

Specific deliverables, timelines, and pricing are defined in separate Statements of Work (SOW) or product-specific agreements.

5. Payment and Billing

• Fees are specified in product pages or individual SOWs.
• Subscription-based Services (e.g., HedgeVision) auto-renew unless cancelled.
• One-time project fees are invoiced per the agreed payment schedule.
• All fees are in USD unless otherwise stated.
• Refund policies are specified per product or SOW.
• We reserve the right to change pricing with 30 days’ notice for subscription services.

6. Acceptable Use

You agree NOT to:

• Use the Services for any unlawful purpose or in violation of any applicable laws.
• Attempt to gain unauthorized access to any part of the Services or related systems.
• Interfere with or disrupt the integrity or performance of the Services.
• Reverse engineer, decompile, or extract source code from the Services (except as permitted by law).
• Use the Services to transmit malware, spam, or any harmful code.
• Scrape, data-mine, or systematically extract data without our express written consent.
• Use the Services to build a competing product or service.
• Misrepresent your identity or affiliation with any person or entity.

7. Intellectual Property

7.1 Our IP

All content, code, design, logos, trademarks, and materials provided by CorrelateX (excluding client deliverables) are owned by CorrelateX and protected by intellectual property laws. The CorrelateX name, logo, and product names (HedgeVision, SuperIntel, ViEngine) are trademarks of CorrelateX.

7.2 Client Deliverables

Upon full payment, clients receive a perpetual, worldwide, non-exclusive license to use the deliverables for their intended business purpose. CorrelateX retains ownership of underlying frameworks, libraries, and reusable components unless otherwise specified in the SOW.

7.3 Open Source

HedgeVision is released under an open-source license (MIT). Contributions are governed by the project’s contributor license agreement. SuperIntel and ViEngine are proprietary.

8. Third-Party Services

Our Services may integrate with or link to third-party services (e.g., GitHub, Cloudflare, payment processors). We are not responsible for the content, privacy practices, or availability of third-party services. Use of third-party services is at your own risk and subject to their respective terms.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• CorrelateX shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Services.
• Our total liability for any claim shall not exceed the amount you paid us in the 12 months preceding the claim, or $100 USD if no fees were paid.
• We provide the Services “as is” and “as available” without warranties of any kind, express or implied.
• We do not warrant that the Services will be uninterrupted, error-free, or completely secure.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In such cases, our liability is limited to the maximum extent permitted by law.

10. Indemnification

You agree to indemnify and hold harmless CorrelateX, its founder, employees, contractors, and affiliates from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your use of the Services
• Your violation of these Terms
• Your violation of any third-party rights
• Content you submit or transmit through the Services

11. Termination

• By You: You may stop using the Services and delete your account at any time.
• By Us:We may suspend or terminate your access for violation of these Terms, with or without notice. For subscription services, we will provide 30 days’ notice for non-violation terminations.
• Effect of Termination: Upon termination, your right to use the Services ceases immediately. Data retention follows our Privacy Policy.

12. Dispute Resolution

• Informal Resolution: Before filing any formal claim, you agree to contact us at legal@correlatex.com and attempt to resolve the dispute informally for at least 30 days.
• Governing Law: These Terms are governed by the laws of India. For EEA/UK consumers, you retain the protection of mandatory consumer laws in your country of residence.
• Arbitration: Any unresolved dispute shall be resolved by binding arbitration administered by the Indian Arbitration and Conciliation Act, 1996, with the seat of arbitration in New Delhi, India.

13. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via email (for account holders) or a notice on our Site. Continued use after changes become effective constitutes acceptance. For subscription services, material adverse changes will not apply retroactively.

14. General Provisions

• Severability: If any provision is found unenforceable, the remaining provisions remain in full effect.
• Waiver: Our failure to enforce any right does not constitute a waiver of that right.
• Force Majeure: We are not liable for delays or failures caused by circumstances beyond our reasonable control.
• Entire Agreement: These Terms, together with our Privacy Policy and any applicable SOW, constitute the entire agreement between you and CorrelateX.
